Under the automatic disciplinary provisions of the Institute’s bylaws, Mr. Thakkar’s AICPA membership was terminated, effective June 1, 2016, in connection with the disciplinary action taken by the Securities and Exchange Commission. Whereby, through an “Offer of Settlement”, and without admitting or denying the charges, the SEC denied Mr. Thakkar the privilege of appearing or practicing before the Commission as an accountant. This decision was based on the Board’s findings that Mr. Thakkar engaged in improper professional conduct subject to Section 4C(a)(2) of the Exchange Act and Rule 102(e)(1)(ii) of the Commission’s Rules of Practice by: (i) willfully aiding and abetting Thakkar CPA’s violations of Rule 2-02(b)(1) of Regulation S-X and Section 102(a) of Sarbanes-Oxley; and (ii) caused issuers to violate Section 13(a) of the Exchange Act and Rules 13a-1 and 13a-13 thereunder.
