In lieu of an investigation of alleged violations of the Codes of Professional Conduct of the AICPA and the Illinois CPA Society, Mr. Cully entered into a settlement agreement under the Joint Ethics Enforcement Program effective July 19, 2016.  Mr. Cully was suspended for two-years from membership in the AICPA and the Illinois CPA Society as a result of his consent to the issuance of an Order Instituting Public Administrative Proceedings, Making Findings and Imposing Remedial Sanctions Pursuant to Rule 102(e) of the Securities and Exchange Commission’s Rules of Practice dated July 2, 2007 in connection with his performance of professional services for a public company. Without admitting or denying the findings, Mr. Cully consented to his barring from serving as an officer or director of a public company for five years.  Mr. Cully was also ordered to pay a civil monetary penalty of $35,000 and disgorgement with interest in the amount of $181,470.
