    Under the automatic disciplinary provisions of the Institute’s bylaws, Mr. Drogin was terminated from membership in the AICPA, effective May 10, 2011, in connection with the Securities and Exchange Commission’s disciplinary action. Specifically, the SEC struck in its entirety Mr. Drogin’s requests for reinstatement of his privilege to appear or practice before the Commission as an accountant thereby remaining in effect, the 2003 Order which denied Mr. Drogin the privilege of appearing or practicing before the Commission as an accountant. This decision was based on the Commission’s findings that Mr. Drogin appeared or practiced before the Commission during the time he was barred from doing so in violation of the SEC’s 2003 Order. The Commission further found that he willfully violated Section 17(a) of the Securities Act and Section 10(b) of the Exchange Act and Rule 10b-5 thereunder, and willfully aided and abetted violations of Section 13(a) of the Exchange Act and Rules 12b-20 and 13a-1 promulgated thereunder.
