Under the automatic disciplinary provisions of the Institute’s bylaws, Mr. Laib’s AICPA membership was suspended for three years, effective December 17, 2012, in connection with the Securities and Exchange Commission’s (SEC) disciplinary action. Specifically, the SEC denied Mr. Laib the privilege of appearing or practicing before the Commission as an accountant with the right to apply for reinstatement after three years from the date of the Order. This decision was based on the SEC’s findings that Mr. Laib engaged in improper professional conduct in connection with audits conducted by two accounting firms of a Company’s financial statements for fiscal years ended February 28, 2005 through 2009 whereby, he failed to conduct the first firm’s fiscal year 2005 through 2008 audits and the second firm’s fiscal year 2009 audit in accordance with PCAOB standards, and the “Company’s” fiscal year 2006 through 2009 financial statements did not present fairly, in all material respects, their financial position, operating results, and cash flows in conformity with generally accepted accounting principles.
